Please read these terms carefully before using the Venue Connect platform.

1. Acceptance of Terms

By accessing or using the Venue Connect platform ("Platform"), including our website, mobile applications, and related services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you and Venue Connect, Inc. ("Venue Connect," "we," "us," or "our"). By creating an account, making a booking, or listing a venue, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Description of the Platform

Venue Connect is an online marketplace that connects event hosts ("Guests") with restaurant and venue owners ("Hosts") who have event-ready spaces available for rental. The Platform facilitates the discovery, booking, and payment process for private dining rooms, banquet halls, rooftop terraces, and other event spaces within restaurants and hospitality venues.

Venue Connect acts solely as an intermediary between Guests and Hosts. We do not own, operate, or manage any of the venues listed on the Platform. Hosts are independent business operators responsible for their own spaces, services, and compliance with applicable laws and regulations.

3. User Accounts & Eligibility

To use certain features of the Platform, you must create an account. You agree to:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction
  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your login credentials secure and confidential
  • Accept responsibility for all activity that occurs under your account
  • Not create more than one account per person
  • Not assign or transfer your account to another party

We reserve the right to suspend or terminate accounts that violate these Terms, contain fraudulent information, or are associated with prohibited activity. Hosts must also provide valid business documentation, including applicable licenses and proof of insurance, as part of our verification process.

4. Booking & Payment Terms

Pricing. Venue rental rates are set by Hosts on a per-hour basis. All prices displayed on the Platform are in U.S. dollars unless otherwise indicated. Hosts may also specify minimum booking durations, food and beverage minimums, and additional fees for services such as A/V equipment or staffing.

Service Fee. Venue Connect charges a 10% service fee on the total booking amount. This fee covers the use of the Platform, payment processing, customer support, and our Host Protection Insurance program. The service fee is non-refundable except where required by law or as specified in our cancellation policies.

Payment Processing. All payments are processed securely through our third-party payment processor. When you confirm a booking, your payment method is charged for the total amount, including the venue rental fee and the service fee. Funds are held by Venue Connect and disbursed to the Host within 48 hours following the successful completion of the event.

Taxes. Guests are responsible for any applicable taxes related to their bookings. Hosts are responsible for collecting and remitting any taxes required in connection with the rental of their venues. Venue Connect does not provide tax advice; consult your tax professional for guidance.

5. Cancellation Policies

Cancellations by Guests are subject to the following tiered refund schedule, based on the number of days before the scheduled event:

The 10% service fee is non-refundable in all cancellation scenarios except where a Host cancels a confirmed booking. In the event of a Host-initiated cancellation, the Guest will receive a full refund, including the service fee.

Hosts who cancel confirmed bookings may be subject to penalties, including reduced search visibility, listing suspension, or account termination for repeated offenses.

6. Host Responsibilities

As a Host on the Venue Connect platform, you agree to:

  • Accurate Listings: Provide truthful, current, and complete information about your venue, including photos, descriptions, capacity, amenities, accessibility features, and pricing.
  • Honor Bookings: Fulfill all confirmed bookings as described in the listing and agreed upon with the Guest. Avoid canceling confirmed bookings except in genuine emergencies.
  • Venue Maintenance: Maintain your venue in a clean, safe, and functional condition that meets all local health, safety, and building codes.
  • Compliance: Hold all required permits, licenses, and insurance necessary to operate your venue as an event space.
  • Communication: Respond to booking inquiries and Guest messages in a timely manner, and be accessible before, during, and after events.
  • Non-Discrimination: Provide equal service to all Guests regardless of race, color, religion, national origin, gender, sexual orientation, disability, or any other protected characteristic.

7. Guest Responsibilities

As a Guest on the Venue Connect platform, you agree to:

  • Respect the Venue: Treat the venue and all furnishings, equipment, and property with care. You are responsible for any damage caused by you or your event attendees.
  • Accurate Guest Counts: Provide truthful and timely estimates of your expected number of attendees. Do not exceed the venue's stated capacity.
  • Timely Communication: Respond promptly to Host messages, confirm event details as requested, and provide required information such as BEO details within the specified timeframes.
  • Venue Rules: Follow all house rules, noise restrictions, and policies set by the Host, including restrictions on decorations, outside vendors, and alcohol service.
  • Punctuality: Begin and end your event within the booked time window. Extended use beyond the reserved hours may result in additional charges.

8. Banquet Event Orders (BEO) & Contracts

For certain bookings, particularly those involving food and beverage service, Hosts may require a Banquet Event Order (BEO). The BEO outlines event-specific details such as menu selections, room setup, timing, A/V requirements, and special accommodations.

Both Guests and Hosts agree to review and confirm the BEO prior to the event. Once a BEO is confirmed through the Platform, it becomes part of the booking agreement and is binding on both parties.

Hosts may also provide supplemental venue contracts or event agreements. Any supplemental contracts must not conflict with these Terms. In the event of a conflict between a Host's supplemental contract and these Terms, these Terms will govern the relationship between you and Venue Connect, while the supplemental contract will govern the relationship between the Guest and Host as it relates to venue-specific matters.

9. Intellectual Property

The Platform, including its design, text, graphics, logos, icons, images, software, and all other content (collectively, "Venue Connect Content"), is the property of Venue Connect or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Venue Connect Content without our prior written consent. By submitting content to the Platform (such as venue photos, descriptions, or reviews), you grant Venue Connect a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute that content in connection with operating and promoting the Platform.

You retain ownership of the content you submit but represent that you have the right to grant this license and that your content does not infringe the intellectual property rights of any third party.

10. Limitation of Liability

To the maximum extent permitted by law, Venue Connect, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of (or inability to access or use) the Platform
  • Any conduct or content of any third party on the Platform, including Hosts and Guests
  • Any content obtained from the Platform
  • Unauthorized access, use, or alteration of your transmissions or content
  • The condition, quality, or safety of any venue listed on the Platform
  • Any disputes between Guests and Hosts

In no event shall Venue Connect's total aggregate liability exceed the greater of one hundred U.S. dollars ($100) or the amount you paid to Venue Connect in service fees during the twelve (12) months preceding the claim.

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Dispute Resolution

Between Guests and Hosts. In the event of a dispute between a Guest and a Host, we encourage both parties to first attempt to resolve the matter directly through the Platform's messaging system. If a resolution cannot be reached, either party may request mediation through Venue Connect's dispute resolution program at no additional cost.

Between Users and Venue Connect. Any dispute arising from or relating to these Terms or the Platform shall first be addressed through informal negotiation by contacting us at hello@hostprivateevent.com. If the dispute is not resolved within thirty (30) days, either party may initiate binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

You agree to resolve disputes with Venue Connect on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration. This arbitration agreement shall be governed by the Federal Arbitration Act.

12. Privacy

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our data practices as described in the Privacy Policy.

By creating an account, you consent to receiving communications from Venue Connect, including booking confirmations, service updates, and promotional messages. You may opt out of promotional communications at any time through your account settings.

13. Modifications to Terms

Venue Connect reserves the right to modify these Terms at any time. When we make material changes, we will notify you by email, through the Platform, or by posting a prominent notice on our website at least thirty (30) days before the changes take effect.

Your continued use of the Platform after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue your use of the Platform and close your account.
